CAFFEINE SOFTWARE LICENSE AGREEMENT

This software and associated documentation files (the "Software") are the
proprietary property of NEXCODE and are protected by copyright law and
international treaties.

1. GRANT OF LICENSE

   Subject to the terms of this agreement, NEXCODE grants you a limited,
   non-exclusive, non-transferable license to use the Software solely for
   your internal business purposes.

2. RESTRICTIONS

   You may NOT:
   (a) Copy, modify, or distribute the Software except as expressly permitted;
   (b) Reverse engineer, decompile, or disassemble the Software;
   (c) Remove or alter any proprietary notices, labels, or marks;
   (d) Sublicense, rent, lease, or lend the Software to any third party;
   (e) Use the Software to create a competing product or service.

3. COMMUNITY EDITION

   A Community Edition of the Software may be made available at no charge
   for evaluation, development, and small-scale deployment purposes, subject
   to the following limitations:
   (a) Maximum 10 concurrent device connections;
   (b) Maximum 100 data tags;
   (c) No commercial redistribution rights;
   (d) NEXCODE may modify Community Edition terms at any time.

4. INTELLECTUAL PROPERTY

   The Software is licensed, not sold. NEXCODE retains all right, title,
   and interest in and to the Software, including all intellectual property
   rights therein.

5. DISCLAIMER OF WARRANTIES

   THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS
   OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
   FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

6. LIMITATION OF LIABILITY

   IN NO EVENT SHALL NEXCODE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
   CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE
   OF THE SOFTWARE.

7. TERMINATION

   This license is effective until terminated. It will terminate automatically
   if you fail to comply with any term of this agreement. Upon termination,
   you must destroy all copies of the Software.

8. GOVERNING LAW

   This agreement shall be governed by the laws of the Republic of Korea.
