DEFINITIONS
-----------
"Software" means the Modern Console Library source code, compiled assemblies,
documentation, and all associated files distributed by Mark Alicz under this
license.
"Licensor" means Mark Alicz, a limited liability company organized under the
laws of the State of Illinois.
"Licensee" means any individual or legal entity exercising rights under this
license.
"Distribute" means to make the Software, or a Derivative Work, or a Larger
Work that incorporates the Software, available to any third party by any means,
including but not limited to sale, sublicense, download, NuGet package
distribution, binary distribution, SaaS delivery, or physical media.
"Derivative Work" means any work that incorporates, modifies, extends, or is
derived in whole or in part from the Software.
"Larger Work" means any work that includes the Software or a Derivative Work
as a component, dependency, or embedded resource, regardless of whether the
Software is modified.
"Source Attribution" means the notices and links required by Section 2 of this
license.
"Commercial Distribution" means any Distribution of the Software, a Derivative
Work, or a Larger Work for which the Licensee receives direct or indirect
monetary compensation, including but not limited to: sale of a software product,
subscription fees, consulting engagements where the Software is delivered as a
deliverable, SaaS revenue, or bundling with a paid product.
"Copy" means a single end-user installation or deployment instance of a product
that incorporates the Software, including cloud instances, virtual machines,
containers, and individual user seats, as applicable.
"Open Source Sellers License" or "OSSL" means the annual commercial
distribution license issued by Mark Alicz and described in Section 4 of this
license.
SECTION 1 — FREE USE RIGHTS
----------------------------
Subject to the conditions of this license, the Licensor grants the Licensee
a worldwide, royalty-free, non-exclusive right to:
(a) Use the Software for any purpose, including commercial internal use,
without payment, provided the Software is not Distributed to third
parties;
(b) Modify the Software and create Derivative Works for personal,
educational, research, or internal business use;
(c) Distribute the Software or Derivative Works at no charge (free of
monetary compensation) to any third party, provided the Source
Attribution requirements of Section 2 are met in full.
"Internal use" in clause (a) means use within a single legal entity. Use
across affiliated entities, subsidiaries, or client organizations constitutes
Distribution and is subject to Section 3 or Section 4 as applicable.
SECTION 2 — SOURCE ATTRIBUTION (MANDATORY FOR ALL DISTRIBUTION)

Any Distribution of the Software, a Derivative Work, or a Larger Work that
incorporates the Software — whether free or commercial — MUST include all of
the following:
2.1 NOTICE FILE
A plaintext file named NOTICE.txt or THIRD-PARTY-NOTICES.txt must be
included in the root of the distributed package or repository. This
file must contain the following notice verbatim:

2.2 SOURCE LINK
The distributed package, installer, documentation, or product webpage
must include a visible hyperlink or printed URL to the canonical source
repository or product page:
https://github.com/MarkAlicz/Modern-Console-Engine
For compiled binary distributions (e.g., NuGet packages, DLLs, EXE
installers), this link must appear in at minimum one of: the package
metadata, the assembly manifest, the README, or the end-user
documentation.
2.3 LICENSE PRESERVATION
This license file must be included, unmodified, in its entirety with
any Distribution of the Software or a Derivative Work. It must not be
removed, renamed, or altered.
2.4 MODIFICATION DISCLOSURE
If the Licensee Distributes a Derivative Work, the Licensee must
clearly state that modifications have been made to the original
Software. The statement need not enumerate every change but must be
present and unambiguous. This statement may appear in the NOTICE file,
README, or changelog.
2.5 NO MISREPRESENTATION
The Licensee may not represent a Derivative Work as the original
Software, may not remove or obscure the Mark Alicz copyright notice,
and may not use the IVolt name, logo, or trademarks to imply
endorsement of the Licensee's product without prior written permission
from Mark Alicz.
Failure to comply with any requirement of this Section constitutes a material
breach of this license and immediately terminates all rights granted hereunder.
SECTION 3 — COMMERCIAL DISTRIBUTION RESTRICTION
------------------------------------------------
Commercial Distribution of the Software, a Derivative Work, or any Larger
Work that incorporates the Software is PROHIBITED without an active Open
Source Sellers License (OSSL) issued by Mark Alicz.
This restriction applies regardless of:
(a) whether the Software has been modified;
(b) whether the Software constitutes the primary or a minor component of
the distributed product;
(c) whether the Licensee charges for the Software directly or for a
product, service, or subscription that includes it;
(d) the jurisdiction in which the Distribution occurs.
Violation of this Section constitutes copyright infringement and breach of
contract and may subject the Licensee to injunctive relief, damages, and
recovery of attorney's fees under applicable law.
SECTION 4 — OPEN SOURCE SELLERS LICENSE (OSSL)

An OSSL authorizes Commercial Distribution of the Software subject to all
Source Attribution requirements of Section 2 remaining in full force.
OSSL ANNUAL FEE SCHEDULE
The annual license fee is determined by the total number of Copies of the
Licensee's product(s) incorporating the Software Distributed to end users
during the applicable license year, across all products and channels.

Fees are due annually on the anniversary of the OSSL issuance date.
The Licensee must self-report the applicable tier in good faith at the
time of payment. Mark Alicz reserves the right to audit distribution
volume upon reasonable written notice.
If actual distribution volume during a license year exceeds the tier
paid at the start of that year, the Licensee must pay the difference
between the tier paid and the correct tier within thirty (30) days of
crossing the threshold.
OSSL TERMS AND CONDITIONS
4.1 An OSSL is non-transferable and non-sublicensable. It authorizes
Commercial Distribution by the Licensee only and does not transfer
any ownership, copyright, or intellectual property rights in the
Software to the Licensee.
4.2 An OSSL does not authorize the Licensee to grant sublicenses to
third parties to Distribute the Software independently. Each party
that commercially Distributes the Software must hold its own OSSL.
4.3 An OSSL does not exempt the Licensee from the Source Attribution
requirements of Section 2. All obligations of Section 2 remain
mandatory for all OSSL holders.
4.4 An OSSL may be terminated by Mark Alicz for material breach upon
thirty (30) days written notice if the breach is not cured within
that period. Termination of an OSSL immediately revokes the right
to Commercial Distribution.

OSSL EXEMPTION — Mark Alicz
Mark Alicz and its authorized agents retain perpetual, irrevocable rights
to Distribute the Software commercially without an OSSL and without fee.
SECTION 5 — CONTRIBUTIONS
--------------------------
If the Licensee submits modifications, patches, or enhancements to Mark Alicz
for potential inclusion in the Software ("Contributions"), the Licensee hereby
grants Mark Alicz a perpetual, worldwide, irrevocable, royalty-free license to
use, reproduce, modify, distribute, sublicense, and commercialize those
Contributions under any license terms Mark Alicz chooses, including
proprietary terms. The Licensee represents that they have the right to grant
this license and that the Contribution does not incorporate third-party
intellectual property that would restrict this grant.
Submission of a Contribution does not obligate Mark Alicz to include it in
the Software.
SECTION 6 — DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE LICENSOR
DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE LICENSEE'S REQUIREMENTS,
OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR DEFECTS.
THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE
LICENSEE. SHOULD THE SOFTWARE PROVE DEFECTIVE, THE LICENSEE ASSUMES THE FULL
COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
SECTION 7 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE
LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO PROCUREMENT OF SUBSTITUTE
GOODS OR SERVICES, LOSS OF USE, LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS
INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO
USE THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER
IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE),
EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LICENSOR'S AGGREGATE LIABILITY TO THE LICENSEE FOR ALL CLAIMS ARISING
UNDER THIS LICENSE SHALL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE TO THE
LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED
DOLLARS ($100.00), WHICHEVER IS GREATER.
SECTION 8 — GOVERNING LAW AND DISPUTE RESOLUTION

This license shall be governed by and construed in accordance with the laws
of the State of Illinois, United States of America, without regard to its
conflict of law provisions.
Any dispute arising out of or relating to this license that cannot be resolved
by good-faith negotiation shall be submitted to binding arbitration in Kane
County, Illinois under the rules of the American Arbitration Association. The
prevailing party shall be entitled to recover reasonable attorney's fees and
costs. Nothing in this Section prevents either party from seeking injunctive
or other equitable relief in a court of competent jurisdiction to prevent
irreparable harm pending arbitration.
SECTION 9 — SEVERABILITY

If any provision of this license is held to be invalid, illegal, or
unenforceable, the remaining provisions shall continue in full force and
effect. The invalid provision shall be modified to the minimum extent
necessary to make it enforceable, preserving the original intent of the
parties to the greatest extent possible.
SECTION 10 — ENTIRE AGREEMENT

This license constitutes the entire agreement between the Licensor and the
Licensee with respect to the Software and supersedes all prior representations,
agreements, and understandings, whether written or oral, relating to the
subject matter hereof. No amendment or modification of this license shall be
binding unless made in writing and signed by an authorized representative of
Mark Alicz.
