Proprietary Software License Agreement

This Proprietary Software License Agreement ("Agreement") is made between Ullrich Praetz ("Licensor") and the individual or entity ("Licensee") who downloads, installs, or uses the NuGet package identified as friflo EcGui ("Software").

  1. Grant of License Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Software for the purposes outlined in this Agreement.

  2. Restrictions Licensee agrees NOT to:

    1. Distribute, sublicense, or otherwise make the Software available to any third party without Licensor’s prior written consent.
    1. Modify, reverse engineer, decompile, or disassemble the Software.
    1. Remove or alter any copyright or proprietary notices included in the Software.
    1. Use the Software for illegal purposes or in a manner that violates any applicable laws or regulations.
  1. Ownership Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. Licensee does not acquire any ownership rights in the Software.

  2. Fees Non-commercial use of the Software is free. For commercial use, a separate license will be required starting from January 1, 2026. License fees and terms for commercial use will be determined and communicated by the Licensor prior to this date.

  3. Disclaimer of Warranties The Software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement.

  4. Limitation of Liability In no event shall Licensor be liable for any damages (including, without limitation, lost profits, business interruption, or loss of data) arising out of the use or inability to use the Software.

  5. Termination This Agreement is effective until terminated. Licensor may terminate this Agreement at any time if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Software and delete all copies in their possession.

  6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Germany.

  7. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior agreements or understandings, whether written or oral.

By downloading, installing, or using the Software, the Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement.
